Restrictions on attendees at AGM

In the Chairman’s letter to shareholders dated 17 March 2021, the Company stated that it was keeping under consideration whether any special measures should be put in place for the Annual General Meeting (“AGM”) which will be held at 11:00am on Thursday, 6 May 2021. In line with guidance, the Company adopted a flexible approach to planning the 2021 AGM in order that it could respond to the situation at the relevant time.

It is anticipated that the UK Government’s Coronavirus restrictions currently in place will continue to remain in place at the time of the AGM. These rules restrict socialising indoors to people in the same household (or within a support bubble) and stipulate that travel should be minimised wherever possible. Whilst the rules do currently allow for meeting others for work (where it is necessary), this does not include shareholder meetings of public companies. As such, shareholders are not permitted to attend the AGM.  

It is the primary intention of the Company to hold the AGM in a safe and proportionate way and we would like to encourage shareholders to continue to submit questions to the board of the Company in advance of the meeting by writing to the Company Secretary at [email protected] or Howden Joinery Group Plc, 40 Portman Square, London, W1H 6LT.
